Trust Deed
1. Name
1.1 The name of the trust is to be the "Wellington and Manawatu Railway Trust".
2. Objectives of the trust
2.1 The objectives or purposes of this trust are or shall be charitable and shall be deemed not to include or extend to any matter or thing that is or shall be held or determined to be non-charitable, and the powers and purposes of the trust created shall be so restricted.
2.2 To acquire by lease or agreement the remains of ex - New Zealand Government Railways locomotive N class number 453 for preservation and restoration.
2.3 To raise funds for and facilitate the restoration of locomotive No. 9 to operational condition, preserving the original existing fabric of the locomotive as far as possible.
2.4 To promote knowledge, education, research and discussion of the original Wellington and Manawatu Railway (1882 - 1908).
3. Board of Trustees
3.1 The Board shall consist of not less than two and not more than ten persons
3.2 The board shall initially consist of the following persons:
3.2.1 Alexander Maciver, Civil Engineering Student, Riccarton, Christchurch
3.2.2 Adam Anthony Orchard, Civil Engineering Student, Riccarton, Christchurch
3.3 The Board may appoint additional Trustees as it sees fit up to the maximum number stated above.
3.4 The Board may, at a meeting where appropriate notice has been given for that purpose retire a Trustee by a resolution passed by two-thirds of those present and voting.
3.5 The office of any Trustee shall be vacated if the Trustee resigns his/her office by notice in writing to the Board.
3.6 That the office of any Trustee of the Board shall also become vacant if such Trustee shall become bankrupt or shall be convicted of an indictable offence, shall die or is for any other reason unfit to carry out his/her duty as a Trustee.
3.7 No trustee shall be liable for any loss not attributable to the dishonesty of the Trustee, nor shall they be liable for any neglect or default of any agent employed in good faith by the Trustee.
4. Membership
4.1 Any individual, trust or body corporate may apply for membership of the Trust.
4.2 All applications for membership of the Trust shall be considered by the Board, which at its absolute discretion may refuse membership of any applicant, without assigning any reason for such refusal.
4.3 Members other than the Trustees shall not have voting rights.
4.4 The subscription rate shall be set and reviewed annually by the Board.
4.5 The board may remove a person's membership at their absolute discretion if they believe that continuing such membership will be of detriment to the Trust.
4.6 All members of the Trust must agree to abide by the rules of the Board.
5. Officers to the Trust
5.1 The Trustees shall appoint a Secretary & Treasurer at the beginning of each financial year.
5.2 The Trustees shall determine the job description for the position of Secretary & Treasurer.
5.3 The Board may appoint (or dismiss) in addition to a Secretary and Treasurer such other officers considered necessary by the Board.
5.4 All officers to the board (including the secretary and treasurer) shall be automatically made members of the trust for the financial year(s) that they serve in their position as an officer.
6. Proceedings of the Board
6.1 The Trustees shall meet at times and places as they deem necessary.
6.2 The board shall before voting on an issue endeavour to come to a consensus on the resolution at hand, and no business shall be conducted unless a majority agreement has been reached.
7. Rules of the Board
7.1 The Trustees shall determine the Rules of the Board.
8. Authorised Expenditure
8.1 All expenditure shall be for the charitable purposes of the Trust.
8.2 All expenditure must be authorised by the board prior to expenditure taking place.
9. Accounts
9.1 The Board shall as soon as possible after the end of every financial year ending 1st June the accounts of the Board for that financial year to be balanced and prepare a statement of assets and liabilities of the Board as at the end of that financial year together with an account of income and expenditure showing the financial transactions for that financial year.
10. Alterations to the Trust Deed
10.1 The Board may at any time make alterations to the Trust Deed provided that the alterations conform to the Trusts charitable status, and that the alterations are carried by a majority of the Trust Board.
11. Liquidation of the trust
11.1 The Trustees may resolve to liquidate the Trust after paying any debts or other liabilities of the Trust, or liabilities arising from the resolution to liquidate. The balance of the Trusts cash, property and assets will then be handed to such approved charitable Society, Trust or other body within New Zealand which has objectives similar to the Wellington and Manawatu Railway Trust, as determined by the Trustees.
12. Common Seal
12.1 The Board shall have a common seal which shall be kept in the custody of the secretary, and shall only be used by the authority of the Board and every document to which the seal is affixed shall be signed by two members of the Board.
